Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Siuex Medical platform at app.siuex.com ("Service"), operated by Siuex Medical (Pvt) Ltd ("we", "us", "our"). By creating an account or using the Service you agree to these Terms in full. If you do not agree, do not use the Service.

01 Acceptance of Terms

By accessing or using Siuex Medical, you confirm that you are at least 18 years old, have the legal authority to enter into a binding agreement, and agree to be bound by these Terms and our Privacy Policy.

If you are using the Service on behalf of a clinic, organisation, or employer, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.

02 The Service

Siuex Medical provides a cloud-based clinic management platform for optical and pharmacy practices. Features include but are not limited to:

  • Patient record management
  • Prescription creation, storage, and printing
  • Inventory tracking and stock management
  • Order management and status tracking
  • Staff and role management
  • AI-powered anomaly detection, patient summaries, and business insights
  • Reporting, analytics, and CSV export
  • Patient campaign email tools
  • Audit logging

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. Where feasible, we will provide reasonable advance notice of material changes.

03 Accounts & Access

Registration

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

Staff accounts

The clinic administrator may invite staff members. Each staff member invited becomes bound by these Terms upon accepting their invitation. The administrator is responsible for ensuring staff comply with these Terms and for revoking access when appropriate.

Account security

You must notify us immediately at +94 77 200 5661 if you suspect unauthorised access to your account. We are not liable for losses arising from failure to keep credentials secure.

One account per clinic

Each subscription covers a single clinic location operating in one mode (optical or pharmacy). Separate subscriptions are required for additional clinic locations or modes.

04 Subscription & Billing

Plans

Siuex Medical offers Starter, Professional, and Enterprise subscription plans. Plan features and pricing are described on our pricing page and may be updated from time to time. Prices are in USD.

Billing cycle

Subscriptions are billed monthly or annually in advance, depending on the plan you select. Annual subscriptions are billed as a single upfront payment.

Payment

We accept payment by credit/debit card and bank transfer. Payment processing is handled by our third-party payment provider. By providing payment details, you authorise us to charge your chosen payment method for the applicable subscription fees.

Renewal

Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. We will send a reminder email before each renewal.

Price changes

We may change subscription prices with at least 30 days' notice by email. Continued use of the Service after the effective date of a price change constitutes acceptance.

Refunds

Payments are non-refundable except where required by applicable law or where we have materially failed to provide the Service as described. We do not offer pro-rata refunds for unused portions of a billing period upon cancellation.

05 Free Trial

New accounts receive a 14-day free trial with access to plan features. No payment method is required to start a trial.

At the end of the trial period, the account will be downgraded to a read-only state until a subscription is activated. Trial data is retained for 30 days after the trial expires, then permanently deleted if no subscription is started.

We reserve the right to modify or discontinue free trials at any time without notice.

06 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Service for any purpose that is illegal, fraudulent, or harmful
  • Enter false, fictitious, or fabricated patient or clinical data
  • Attempt to gain unauthorised access to any part of the Service or its underlying infrastructure
  • Reverse-engineer, decompile, or disassemble any part of the Service
  • Scrape, crawl, or use automated means to extract data from the Service without our consent
  • Transmit malware, viruses, or any other harmful code
  • Use the Service to send unsolicited bulk messages (spam)
  • Resell, sublicense, or commercially exploit the Service without our written permission
  • Violate any applicable law, regulation, or professional code of conduct

Professional responsibility: Siuex Medical is a management tool, not a medical decision-making system. All clinical decisions remain the sole responsibility of qualified healthcare professionals. AI-generated suggestions must be reviewed by a qualified clinician before acting on them.

07 Your Data

Ownership

You retain full ownership of all data you enter into the Service, including patient records, prescriptions, inventory, and other clinic data ("Your Data"). We do not claim any intellectual property rights over Your Data.

Licence to us

You grant us a limited, non-exclusive licence to host, store, process, and transmit Your Data solely as necessary to provide the Service to you, as described in our Privacy Policy.

Data export

Professional and Enterprise plan subscribers may export data in CSV format at any time. Upon cancellation, you have 30 days to export your data before it is permanently deleted.

Data accuracy

You are responsible for the accuracy and completeness of all data entered into the Service. We are not liable for errors or omissions in data you provide.

Patient data responsibility

As a healthcare professional or clinic operator, you are responsible for ensuring you have the legal right to store and process patient information, and for complying with all applicable data protection and healthcare regulations in your jurisdiction.

08 AI Features

Siuex Medical includes AI-powered features such as prescription anomaly detection, patient summaries, natural language reports, and business insights. By using these features you acknowledge:

  • Not a substitute for clinical judgement: AI outputs are informational only and do not constitute medical advice. All outputs must be reviewed and validated by a qualified clinician before acting on them.
  • Anonymisation: Patient names and direct identifiers are removed before any data is sent to AI processing. You must not attempt to circumvent this process.
  • Accuracy: AI outputs may be incomplete, incorrect, or outdated. We make no warranty as to the accuracy, reliability, or fitness of AI-generated content for any clinical purpose.
  • Third-party processing: AI features rely on third-party AI providers (currently Anthropic). Use of these features is also subject to those providers' applicable usage policies.
  • Plan availability: Specific AI features are available on specific plans only, as shown on the pricing page.

09 Intellectual Property

All rights, title, and interest in and to the Service — including software, design, trademarks, logos, and documentation — are and remain the exclusive property of Siuex Medical (Pvt) Ltd and its licensors.

These Terms do not grant you any right to use our trademarks, brand names, or logos without our prior written consent.

Feedback, suggestions, or ideas you provide about the Service may be used by us freely without obligation or compensation to you.

10 Availability & SLA

We target 99.9% monthly uptime for the Service. Planned maintenance windows will be communicated in advance where possible and are excluded from uptime calculations.

Enterprise plan subscribers may be entitled to a formal SLA and service credits as agreed in a separate written agreement. No SLA credit applies to Starter or Professional plans.

We are not liable for downtime caused by circumstances outside our reasonable control, including internet outages, third-party service failures, or force majeure events.

11 Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or free of harmful components
  • Any data stored in the Service will be free from loss, corruption, or unauthorised access
  • AI-generated content will be accurate, complete, or suitable for clinical or business use
  • The Service will meet your specific requirements

Some jurisdictions do not allow the exclusion of implied warranties; in such cases, the above exclusions apply to the maximum extent permitted by law.

12 Limitation of Liability

To the maximum extent permitted by applicable law, Siuex Medical (Pvt) Ltd and its directors, employees, and agents shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, goodwill, or business opportunity
  • Damages arising from reliance on AI-generated content
  • Clinical harm arising from use of or reliance on the Service
  • Damages exceeding the total fees paid by you in the 12 months preceding the claim

These limitations apply regardless of the legal theory under which the claim is brought, even if we have been advised of the possibility of such damages.

13 Termination

Cancellation by you

You may cancel your subscription at any time from your dashboard settings. Access continues until the end of your current billing period. After cancellation, your data is retained for 30 days to allow export, then permanently deleted.

Termination by us

We may suspend or terminate your account immediately, without prior notice, if:

  • You breach any provision of these Terms
  • We are required to do so by law or a regulatory authority
  • Your use of the Service poses a security risk or harm to us or other users
  • Payment fails and remains unresolved after reasonable notice

Effect of termination

On termination, your right to access the Service ceases immediately. Sections 7 (Your Data — ownership), 9 (Intellectual Property), 11 (Disclaimer), 12 (Limitation of Liability), and 14 (Governing Law) survive termination.

14 Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of Sri Lanka, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Sri Lanka.

If you are located in a jurisdiction that does not permit the above choice of law or jurisdiction, local mandatory provisions may apply.

15 Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email and by displaying a prominent notice in the platform at least 14 days before the change takes effect.

The "Last updated" date at the top of this page always reflects the most recent revision. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.
